Eric Furlow will sign this NDA in order to receive information from a prospective seller. The information will be shared only with the buy-side client of Furlow Consulting.
Eric Furlow recognizes that the information received from __________________ ("Company"), is to be shared only with the disclosed buy-side clients of Furlow Consulting, Inc. ("FCC"). The buy-side clients have retained FCC as its exclusive agent regarding the possible acquisition/merger of Company. The information to be received describes the business, facilities and financial position of Company. The information has been prepared by Company. Company and FCC each expressly disclaims any and all liability for representations or warranties, expressed or implied, contained in, or omitted from, the information received or any other written or oral communication transmitted or made available. FCC has not independently verified such information and has not made an independent appraisal of any of the assets of Company. In addition, neither FCC nor Company makes any representations or warranties with regard to any and all estimates or projections included. The sole purpose of the information received by FCC is to assist in deciding whether the buy-side clients of FCC wish to proceed with a potential acquisition/merger of Company.
By its acceptance hereof, FCC agrees that it will not distribute the information to anyone or any entity other than the buy-side clients, in whole or in part, at any time without the prior written consent of Company and that it will keep confidential, all information made available. If FCC and buy-side clients decide not to proceed with the potential acquisition of Company, or if Company so request, FCC will promptly return to Company all material received from Company without retaining any copies thereof. FCC will delete all electronically stored informational items. Company undertakes no obligation to provide FCC with access to any additional information or to update any of the information provided.
